Terms of Service – WebDAVPro

Terms of Service for the subscription of the WebDAV Provider.

These Terms of Service („Terms“, „Terms of Service“) govern your relationship to the „WebDAV Provider“ application („Service“) created by HWI GmbH („we“ or „our“).

Please read these Terms and Conditions carefully before using our WebDAV Provider Application (the „Service“). Your access to and use of the Service depends on your acceptance and compliance with these terms. These Terms of Service apply to all users accessing or using the Service.

By accessing or using the Service, you agree to be bound by these terms. If you disagree with any of the terms, you must not access the service.

Subscriptions

This service is billed on a subscription basis („Subscription(s)“). You will be billed regularly in advance („billing period“). The billing cycles are set either monthly or annually, depending on the type of subscription you choose when you purchase a subscription.

At the end of each billing cycle, your subscription automatically renews under the same terms, unless you cancel it. You can cancel your subscription renewal through the AppStore’s online account management page.

A valid payment method is required to process the payment for your subscription.

Free trial period

HWI GmbH may, at its discretion, offer a subscription with a free trial period for a limited period of time („free trial“).

Unless you have canceled your subscription, you will automatically be charged the applicable subscription fees for the subscription type you selected on the last day of the free trial period.

HWI GmbH reserves the right, at any time and without prior notice, to (i) change the terms of the free trial offer or (ii) cancel this free trial offer.

Changes in the price model

HWI GmbH may change the subscription fees at any time. Any change to the subscription fee will take effect at the end of the current billing cycle.

HWI GmbH will notify you ahead of any change in subscription fees in order to give you the opportunity to cancel your subscription before any such change takes effect.

Continued use of the Service after change of subscription fee expresses your consent to the payment of the modified amount of the subscription fee.

Refunds

Paid subscription fees are non-refundable, unless required by law.

Limitation of Liability

HWI GmbH, its employees, partners or suppliers are not liable for any indirect, incidental or special consequential or punitive damages, including but not limited to lost profits, data, use, goodwill or other intangible loss arising from (i) your Access or use of our service (including unavailability and not use);
(ii) the conduct or content of third parties in the service; (iii) any Content received from the Service; and (iv) unauthorized access, use, or alteration of your communication or content, whether or not based on a warranty, contract, tort (including negligence), or any other theory of law, except where such exclusion of warranty is considered invalid by law.

Disclaimer

Your use of the Service is at your sole risk. The service is offered „as is“ and „as available“. The Service is provided without any warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or performance.

HWI GmbH affiliates and licensors make no warranty that: a) the service will be uninterrupted, error free, secure or available at any given time or place; b) faults or defects are remedied; c) the service is free from viruses or other harmful components; or d) the results of the use of the service will meet your requirements.

Governing Law

These conditions are subject to German legislation.

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such rights. Should any provision of these Terms be declared invalid or unenforceable by any court, the remaining provisions of these Terms shall remain in effect. These Terms constitute the entire agreement between us with respect to our service and supersede all prior agreements we have made with respect to the service between us.

Amendments

We reserve the right, at our sole discretion, to change or replace these terms at any time. If a revision is essential, we will try to communicate it at least 30 days before the new regulations come into force. What constitutes an essential change is determined at our sole discretion.

By continuing to access or use our service after these changed terms have come into force, you agree to the revised terms. If you do not agree to the new terms, you have to stop using the service.
